绿鞋机制是指发行人在股票上市后一段时间内授予主承销商的一项选择权。按照惯例,获此授权的主承销商按同一发行价格超额发售不超过包销数额15%的股份,即主承销商按不超过包销数额115%的股份向投资者发售。

在本次增发包销部分的股票上市之日起30日内, 当股票股价上扬时,主承销商即以发行价行使绿鞋期权,从发行人购得超额的15%股票以冲掉自己超额发售的空头,并收取超额发售的费用。此时不必花高价去市场购买,只需发行人多发行相应数量的股份给包销商即可。实际发行数量为原定的115%。

当股价下跌时, 主承销商将不行使该期权,而是从股票二级市场上购回超额发行的股票以支撑价格并对冲空头(平仓),以赚取中间差价。此时实际发行数量与原定数量相等,即100%。由于此时市价低于发行价,主承销商这样做也不会受到损失。
