获得权利或股票的方式不同。在股票期权激励中，激励对象是无偿获得或基本上不用现金，就能获得这种权利；在股权激励中，激励对象必须拿出一部分现金才能获得股份或股票。

获得收益的方式不同。在股票期权激励中，激励对象在行权日之前不会获利，在行权日行权之后才能获得应得的全部收益；在股权激励中，激励对象在获得股份或股票之后，就相应获得分红权，但整个股票的兑现要在全部股价款支付完毕且任期届满后才能实现。

两者所承担的风险不同。期权激励中，当股份贬值时激励对象可以放弃行权，损失的只是一小部分为购买股份而付的定金，从而避免了承担股份贬值所带来的风险。股权激励预先就购买了股份，当股份贬值时激励对象需要承担相应的损失。因此，激励对象持有期股时实际上是承担了风险的。
