个人投资者参与网下新股发行的条件：

依法可以进行股票投资，具备5年（含）以上的A股投资经验；

具有良好的信用记录。最近12个月未受到刑事处罚、未因重大违法违规行为被相关监管部门给予行政处罚、采取监管措施；

风险承受能力等级为C3（平衡型）或C4（增长型）或C5（进取型）；

必要的定价能力；

符合协会对网下询价对象的市值要求；

资金来源合法合规；

必须在证券公司开设资金账户，时点总市值至少1000万以上 。与网上申购市值计算方式相同，按对应市场分开计算，询价日前20个交易日日均市值不低于1000万元，且不低于发行人和主承销商事先确定并公告的市值要求。可以申购对应市场发行的新股。多账户合并计算市值。
