1、纽约证券交易所退市规则：股东少于600个，或持有100股以上的股东少于400个；社会公众持股少于20万股，或总市值少于100万美元；过去5年经营都是亏损的状态；上市公司总资产少于400万美元，并且过去4年都是亏损的状态；上市公司总资产少于200万美元，并且过去2年都是亏损的状态；连续5年都部分红利。

2、纳斯达克证券交易所退市规则：上市公司的有形净资产不得低于200万美元；市值不能低于3500万美元；最近一个会计年度净收益不低于50万美元，或最近三个会计年度中的两年的净收益不低于50万美元；社会公众持股少于50万股;最低报买价不能低于1美元；做市商数不能少于2个；股东人数不能少于300个。
