净资产是总资产减去负债后剩余的部分，这部分权益是属于公司股东的。净资产是基于历史成本计量原则通过会计记账计算出来的股东拥有的所有者权益，但是并没有反映出公允的价值。

总市值是股票价格和股份数量的乘积，可以看出总市值恰恰通过二级市场的交易价格反映了公允价值，一般对于经营良好的企业来说，总市值>净资产，也就是市净率大于1，而对于经营前景不佳的企业来说，市净率往往小于1即总市值<净资产。

总之简单理解就是：净资产是股东会计上的财富，总市值是股东市场上的财富，二者往往处在不一致的变化中。
