可转债的转股价格低于正股股价对想要转股的投资者来说相对是好事，但是也可能是一个正常现象，市场中很多转股价格都可能低于正股价格。打个比方：投资者买了1000元的可转债，转股价为10元，此时转股可以得到100股，假设股价上涨到20元，转股后股价上涨了就有2000元的市值，此时就相当于转股能赚1000元（未考虑转债价格上涨）。不过对于如果正股股价不涨，转股过去没有盈利的空间，此时转股也没有意义，所以并不一定完全是好事。

当转股价格低于正股股价的时候，此时的转股溢价率低，如果溢价率为负数，则转股更好，但负溢价率的情况下，如果资金担心投资者买进后转股，那么此时大资金就不愿意操作，所以转债的价格不一定上涨，对于持债的投资者来说则不一定是好事。
