一般可转债下调或下修的条件：

1、当上市公司的股票在任意连续二十个交易日内至少有十个交易日的收盘价低于当期转股价格的85%时，公司有权提出下修转股价格。

2、触发附加回售条款，即当上市公司的正股价连续15－20天高于转股价的130％，或者，正股价持续约30天低于转股价的70％－80％时，为避免向债权人偿付（公司负债压力大），选择下修。
