3、公司被控股股东及其关联方非经营性占用资金，余额达到最近一期经审计净资产绝对值5%以上，或金额超过1000万元，未能在1个月内完成清偿或整改，或公司违反规定对外提供担保，余额达到最近一期经审计净资产绝对值5%以上等；

4、最近连续三个会计年度扣除非经常性损益前后净利润孰低者均为负值，且最近一个会计年度财务会计报告的审计报告显示公司持续经营能力存在不确定性等。
