1、公司扭亏为盈，上个会计年度报表公司净利润为正数。

2、公司的主营业务正常，且在扣除非经常性损益之后的净利润为正值。

3、最近一个会计年度的财务报表没有出现重大的差错、虚假陈述，且没有被会计师事务所出具无法表示意见或者否定意见的审计报告。

4、财务上：上市公司向控股股东或者其关联人不存在提供资金的余额在 1000 万元以上，或者占上市公司最近一期经审计净资产的 5%以上的情形。
