派发现金和送股须满足：公司当年有利润；已弥补和结转递延亏损；已提取10%的法定公积金和5%-10%的法定公益金等要求；还需要满足公司前次发行股份已募足并间隔一年；公司在最近3年财务会计文件无虚假记录；公司预期利润率可达到同期银行存款利润等。

以盈余公积金转增股本除满足以上要求意外，还需要满足：

1、公司在最近三年连结盈利，并可向股东支付股利；

2、分配后的法定公积金留存额不得少于注册资本的50%等要求。因此，不满足以上条件，上市公司就不能进行分红。
